By agreeing to purchase a Pistons (as defined below) season subscription (the “Membership”) or Pistons individual game ticket, Member (as defined below) agrees to the following terms and conditions and represents and warrants that Member is authorized to agree to these terms and conditions (together with the accompanying invoice, if any, the “Agreement”) on behalf of the entity making such purchase (if not an individual):

  1. Member: The “Member” shall be the person or legal business entity that is on record in the Detroit Pistons Basketball Company (“Pistons”) and/or Palace Sports & Entertainment, LLC d/b/a Pistons Sports & Entertainment (“PSE”) database as the registered holder of the Membership or individual game ticket. If a Membership is registered in the name of a legal business entity, a contact person must be identified for the limited purpose of correspondence and contact. The Pistons and/or PSE’s acceptance of payment for the Membership from any person or entity other than the Member does not grant any rights to Tickets (as defined below) or any other Membership Privileges (as defined below), any account access or any future account or credit rights, nor constitute an assignment or transfer thereof, to such person or entity.
  2. Tickets: Each ticket covered by or otherwise licensed pursuant to these Member Terms shall be referred to herein as a “Ticket.” Tickets and any and all other benefits or privileges of Membership including but not limited to invitations to Member events shall be referred to herein as “Membership Privileges.” The Tickets, which Member or individual ticketholder shall receive, are owned by the Pistons. Each Ticket represents a separate, limited and revocable license that only permits the bearer the right to attend the Pistons home game at Little Caesars Arena (“LCA”) identified on such Ticket and sit in the seat location identified on such Ticket. The Tickets and any Membership Privileges are licensed solely to the Member. Any change in contact name or address regarding a Membership must be made in writing and be signed by the Member on company and/or personal letterhead. By purchasing the Membership, Member hereby acknowledges and agrees that the Membership does not convey or grant certain rights, express, implied or otherwise, to the same level of Membership Privileges as other full-season or premium half-season Pistons Ticket packages.
  3. Membership Term: The term of this Membership shall commence on the date Member makes full or partial payment (in accordance with an approved payment plan, as applicable) for the Membership or the day Member accepts delivery of Tickets (the “Membership Start Date”), and shall continue until (i) the later of June 30 of the following year or the end of the current basketball season, or (ii) if the Membership is for more than one Membership Year, the date on the accompanying invoice (as applicable, the “First Year End Date”). The period beginning on the Membership Start Date and ending on the First Year End Date is the “First Membership Year” (even if more or less than twelve (12) months), and each subsequent twelve (12) month period beginning on July 1 and ending on the following June 30 is a “Membership Year.”
  4. Automatic Renewal: By purchasing a Membership, Member acknowledges that Membership will automatically renew for the upcoming Membership Year on the “Automatic Renewal Date” (defined by the accompanying invoice) of each year unless Member has provided written notice of cancellation prior to or during the Renewal Period (defined below), or the Pistons have provided notice of termination of your Membership. In connection with such automatic renewal, Member agrees to and accepts the Recurring Payment Authorization as set forth below.  The Automatic Renewal Date shall be preceded by a 30-day period during which Member may opt out of the upcoming Membership Year, the “Renewal Period.” The Pistons and/or PSE will provide Member with at least 30 days’ written notice of the Automatic Renewal Date,  any change in the price of Membership for the upcoming Term, and any material changes to the Agreement. By way of example only, if the Membership Start Date is on September 28, 2024, then the first Membership Year ends on June 30, 2025, and the second Membership Year begins on July 1, 2025 and ends on June 30, 2026. If the Automatic Renewal Date in the second Membership Year is determined by Pistons to be March 9, 2024, then the Automatic Renewal Period shall begin on February 7, 2024. Members enrolling in their first Membership Year may also have the opportunity to purchase tickets to playoff games at LCA occurring after enrollment and before the first regular season of their Membership, subject to availability. By purchasing the Membership, Member acknowledges and agrees that Member is not guaranteed that any or all of Member’s specific seat assignments from the prior NBA season will be the same upon automatic renewal for the subsequent NBA season. If any or all of Member’s seat assignments change for the following NBA season upon renewal, Pistons and PSE will make commercially reasonable efforts to find Member available seat assignments at a comparable price and location to the extent available, but the Pistons and PSE make no guarantee, express, implied or otherwise, that any seat assignments of equal or reasonably similar price or location will be available. This provision does not apply to individual ticket holders. Individual ticket holders’ license term is limited to the single game for which they hold the Ticket. 
  5. Membership Recurring Payment Authorization: Member authorizes Pistons and/or PSE to charge payment to your default payment method or other payment method on file for season tickets for each Membership Year according to the dates listed on the Agreement. This payment authorization shall remain in effect in perpetuity, subject to change as Pistons may notify Member in writing. Member may cancel Membership for any future Membership Year in which Member is eligible for renewal by giving written notice of cancellation to Pistons prior to or during the Renewal Period preceding that Membership Year. If the Membership is for more than one Membership Year, Member will only have an option to renew or cancel their Membership for the Membership Year following the expiration of their current Membership Term. If Member cancels Membership, Member shall no longer be responsible for future Membership Year payments, but shall continue to be responsible for all payments remaining under the current Membership Year. This provision does not apply to individual ticket holders.
  6. Membership Fee and Default: All payments must be received, or funds must be available for automatic charge, by the dates listed on the Agreement or the date on the ticket for individual ticket holders. Member shall not receive the Tickets or any Membership rights until all payments due have been received by Pistons and/or PSE. For the avoidance of doubt, if Member has elected payment through an approved payment plan, then so long as Member remains current on all payments, Member shall have access to the Tickets and other Membership rights. Upon the expiration of payment method(s) on file, Member shall have 30 days to provide Pistons with new payment information. All Membership Privileges are revocable by the Pistons and/or PSE for failure to comply with any of the terms relating thereto, including without limitation, failure to make payment(s) or make funds available for automatic charge hereunder when due. If Member defaults or breaches this agreement, Pistons, at its option, may do any, some or all of the following: (i) suspend the Membership license and the other rights granted to Member hereunder without reducing or suspending the license fees, (ii) accelerate all Membership fees due hereunder so that they are immediately due and payable, (iii) upon written notice to Member, terminate Member’s right to use the Tickets and any other Membership Privileges provided under this Agreement, or (iv) pursue any other right or remedy available to Pistons at law or in equity. Whether or not Member’s right to use the Membership is terminated by Pistons, Pistons may recover damages from Member’s breach or default. If Member’s right to use the Tickets is terminated, Member will still be liable to Pistons for damages and Pistons may take exclusive possession of the Tickets without liability to Member for damages of any kind.
  7. Fan Violation Policy: Member shall, and shall cause all guests using Tickets or other Membership Privileges to, comply with all rules, regulations, policies and procedures adopted from time to time by the Pistons, PSE, LCA and/or the NBA, including, without limitation, (A) all policies with respect to the cancellation, postponement or rescheduling of a Pistons home game, (B) all announcements issued over LCA’s public address system, and (C) the NBA Fan Code of Conduct, (D) all Pistons, PSE and LCA Safety Requirements (defined below), and (E) all applicable federal, state and local laws, rules, regulations and orders of government authorities. The Pistons and PSE reserve the right to revoke Member’s Membership license, and/or refuse admission to or eject from LCA any person whose conduct it deems disorderly or otherwise in violation of any rules, regulations, policies or laws referenced above. If Member or any guest thereof is refused entry to or ejected from LCA for such reason, Member shall forfeit any claim for a refund or credit. The Pistons and PSE reserve the right to take appropriate action against individuals who fraudulently obtain wheelchair and companion seats including, without limitation, ejection and legal action. Member is responsible for the actions of anyone using Member’s Tickets. If, while attending a game at LCA, Member or anyone using the Tickets or any other Membership Privileges violates local or state law or policies set by the Pistons, PSE, the NBA or LCA, such violation may result in the seizure and/or termination of the Membership without refund or other compensation and Member shall be liable for breach hereof. The offending party may also be banned from LCA.
  8. Safety Requirements: Tickets and Member’s admission to LCA are subject to all safety and health requirements and policies put in place by the Team, NBA, and Arena, including requirements relating to face masks and enhanced health screenings (which may include a requirement that the Member, and any person in the Member’s party, be tested for COVID-19 prior to or during the Pistons game).  Such policies and requirements as they may be updated from time to time (in the sole determination of the Pistons, NBA and/or LCA) and as they may be communicated to the Member prior to or during the Pistons game (whether orally or in writing) by, for example, instruction provided by Pistons or LCA personnel or signage in or around the LCA, are collectively referred to below as the “Safety Requirements”.  The Member acknowledges and agrees to comply, and to cause Member’s guests to comply, with the Safety Requirements (including all requirements that must be satisfied prior to or during the Pistons game), and attendance at the Pistons game is conditioned on such compliance.
  9. THE MEMBER EXPRESSLY ACKNOWLEDGES AN INHERENT RISK OF EXPOSURE TO COVID-19 EXISTS IN ANY PLACE WHERE PEOPLE GATHER AND THAT NO PRECAUTIONS (INCLUDING THE SAFETY REQUIREMENTS DESCRIBED ABOVE) CAN ELIMINATE THE RISK OF EXPOSURE TO COVID-19.  COVID-19 IS AN EXTREMELY CONTAGIOUS DISEASE THAT CAN LEAD TO SEVERE ILLNESS AND DEATH.  WHILE PEOPLE OF ALL AGES AND HEALTH CONDITIONS HAVE BEEN ADVERSELY AFFECTED BY COVID-19, CERTAIN PEOPLE HAVE BEEN IDENTIFIED BY PUBLIC HEALTH AUTHORITIES AS HAVING GREATER RISK BASED ON AGE AND UNDERLYING MEDICAL CONDITIONS. 
  10. THE MEMBER VOLUNTARILY ASSUMES ALL RISK AND DANGER of personal injury (including death), sickness (including illness and other risks of exposure to COVID-19, or any other communicable disease or illness, or a bacteria, virus or other pathogen capable of causing a communicable disease or illness), lost, stolen, damaged or confiscated property, and all other hazards arising from, or related in any way to, Pistons games, whether occurring prior to, during, or after a Pistons game, however caused and whether by negligence or otherwise.
  11. Resale of Tickets and Assignment: It is against Pistons and PSE policy and state law to sell Tickets for more than the face ticket price. Any violation of this policy is grounds for immediate seizure and termination of all Tickets and Membership Privileges without refund or other compensation; constitutes a breach of this Agreement and may subject Member to criminal prosecution. Member may not assign this Membership license without the prior written consent of the Pistons or PSE. Resale is not permitted in or around LCA and may result in fine and/or arrest. To ensure that all patrons agree to, and comply with, all Safety Requirements and all other NBA, Pistons and LCA rules, Tickets may not be resold or offered for resale on any platform other than a platform expressly authorized by the Pistons or the NBA.  Without limiting the foregoing, any transfer of Tickets to any person who fails to satisfy any Safety Requirement (including pre-game requirements established by the Team or Arena) may be voided by the Pistons and the Ticket cancelled.
  12. Revocable License: No property rights, and no renewal or expectancy rights, are conveyed under this Agreement, except those that are granted by Pistons annually for the purpose of automatic renewal. There are no rights to specific games, game dates, or seats. This Agreement and any or all of the Tickets and other Membership Privileges are revocable at any time by the Pistons and/or PSE, in their sole and absolute discretion, with cause (including a breach of this Agreement) or without cause. Upon any revocation of the Membership, the Pistons and/or PSE may, in their sole and absolute discretion, (i) cancel, deactivate and revoke any or all Tickets for the remaining games of the current Membership Year (and deny the holder of such revoked Tickets admission to LCA for the games to which such revoked Tickets apply) and (ii) revoke any or all other Membership Privileges, including any right Member may have under this Agreement to purchase tickets to Pistons playoff home games for any Membership Year. Upon a revocation of the Membership with cause, the Pistons shall have the right to retain any prepaid portion of the Membership fee. Upon a revocation of the Membership without cause (excluding Force Majeure), the Pistons shall refund to Member any prepaid portion of the Membership fee attributable to regular season games for which Tickets are revoked. If the Pistons revoke any Tickets with cause but do not revoke the Membership, no refund will be paid to Member.
  13. No Guaranteed Right: Member hereby acknowledges and agrees that Member neither has a reasonable expectation, or any right or privilege, implied or otherwise, to purchase or receive playoff tickets for the current NBA season (except as expressly provided for and agreed to by Member in the Agreement) or any subsequent NBA season(s). If Member purchasing the Membership receives the option to purchase playoff tickets, Member acknowledges and agrees that Member has no right or privilege, express, implied or otherwise, or any reasonable expectation that Member will receive Member’s regular season seat assignments or other Tickets in a reasonably comparable location. Member also acknowledges and agrees that Member does not have any right or privilege, implied or otherwise to the receipt of any Tickets or other Membership Privileges for any subsequent season(s) and any renewals or the provision of Membership Privileges shall not create a course of dealing between Member and the Pistons and/or PSE or a reasonable expectation, right or privilege, implied or otherwise, to any further renewal. Pistons and PSE shall have the ability to terminate this Membership at the end of each respective NBA season. Such termination shall terminate the Agreement as of June 30 or the end of the basketball season of the applicable year, whichever is later.
  14. Disputes: The Pistons and PSE shall, in their sole judgment, make any decisions and resolve all disputes between Member and the Pistons and/or PSE and any right attendant thereto. The venue for any lawsuit filed hereunder shall be Wayne County, Michigan. Member hereby waives any right to trial by jury in any action or proceeding.
  15. Policies and Procedures: The Pistons and PSE reserve the right to modify these terms and conditions and any other policies and procedures related to the Membership, at any time and in their sole discretion. 
  16.  Restrictions: Member agrees not to transmit, distribute, misappropriate or sell (or aid in transmitting, distributing, misappropriating or selling), in any media now or hereafter existing, any description, account (whether text, data or visual, and including (without limitation) play-by-play data), picture, video, audio or other form of exploitation or reproduction of a Pistons game.  Tickets may not be used for any form of commercial or trade purposes, including, but not limited to, advertising, promotions, contests, sweepstakes, giveaways, gambling or gaming activities, without the express written consent of the Pistons and NBA. Any violation of this provision shall be a material breach of the Agreement.
  17. Use of Image: Member, and those who use the Tickets, grant(s) permission to the Pistons, PSE and NBA (and their respective designees and agents) to utilize the Member’s image, likeness, actions and statements in any live or recorded audio, video, film, or photographic display or other transmission, exhibition, publication or reproduction made of, or at, the Pistons gamesin any medium, whether now known or hereafter created, or context for any purpose, including commercial or promotional purposes, without further authorization or compensation.  In addition, Member grants to the NBA and Pistons/PSE permission to collect, use, share and store certain Member facial and other biometric information as permitted by law, including for security purposes.
  18. Time Changes: Dates and times of all games are subject to change without notice. It is the responsibility of the Member to notify any recipient(s) of Ticket(s) of any changes in game time or date.
  19.  Liability: (i) The Pistons, PSE and the other Releasees’ (as defined below) liability for damages of any kind arising out of this Membership or individual Tickets is limited to a refund of the actual Membership fee paid by Member for the unused Tickets under this Membership license. This remedy is exclusive. For the avoidance of doubt, in no event shall the Pistons, PSE or any other Releasee be liable for any incidental, direct, indirect, special, punitive, exemplary or consequential damages or for lost profits, revenues or business opportunities even if such Releasee has been advised of the possibility of such damages or if such damages were foreseeable, including, without limitation, any amount paid in excess of the “face value” of a Ticket (i.e. the value listed on the ticket). (ii) Member, on behalf of itself, its guests and any holder of any Ticket, voluntarily assumes all risk and danger of personal injury or illness (including death), property damage, and all hazards arising from, or related in any way to, use of the Tickets and/or other Membership Privileges, whether occurring prior to, during, or after a Pistons game or Member event, in or around LCA or in any location where a Member event takes place, howsoever caused and whether by negligence or otherwise, including specifically but not exclusively the risk and danger of any injury, loss or damage by basketballs or other equipment, projected or thrown objects, players on the Pistons or the opposing team, other spectators in any manner whatsoever or sickness (including illness and other risks of exposure to COVID-19, or any other communicable disease or illness). Member and Member’s heirs, assigns, executors, next of kin, Member’s guests (“Member Related Persons”) waive and release, to the fullest extent permitted by law, all claims, whether known or unknown, relating to or arising from any such illness, injury, loss or damage against the Pistons, PSE and their respective affiliates, and the officers, directors, managers, owners, employees, agents, successors and assigns of each of the foregoing (all of the foregoing, collectively, the “Releasees”). Member and Member Related Persons acknowledge and agree that the Releasees shall not be responsible for any such illness, injury, loss or damage (including for lost or stolen property). (iii) Member shall indemnify and hold harmless, to the fullest extent permitted by law, all Releasees from and against any liabilities, losses, damages, claims, demands, choses in action, costs and expenses, including reasonable attorneys’ fees (including in any action between Member and the Pistons or any other Releasee, or any action by a third party), costs of investigation (whether or not litigation occurs) and litigation expenses, arising out of or related to Member’s or any of Member’s guests’ presence in and around LCA, any act or omission, breach of any provision of this Membership license, or violation of any applicable law, rule, regulation or order, in each case, by Member or any of Member’s guests.
  20. ALL TICKET AND MEMBERSHIP SALES ARE FINAL. NO REFUNDS OR EXCHANGES EXCEPT AS DETERMINED IN PISTONS’ SOLE DISCRETION. IN NO EVENT SHALL LICENSOR, DPBC, NBA, OR LCA BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR EXEMPLARY DAMAGES OF ANY KIND, OR ANY DAMAGES BEYOND THE FACE VALUE OF THE TICKET, INCLUDING, WITHOUT LIMITATION, ANY AMOUNT PAID IN EXCESS OF FACE VALUE FOR THIS TICKET.
  21. Force Majeure: The Pistons and PSE shall not be responsible to Member for a refund of any payments hereunder or otherwise for the cancellation or non-performance of any game or Member’s inability to use any seats that are part of the Membership due to any cause, emergency or circumstance beyond the control of Pistons/PSE, including, but not limited to, strikes, lockouts, or other labor disputes, embargoes, flood, earthquake, storm, lightning, fire, epidemic or pandemic, acts of God, wars, national emergency, civil disturbance or disobedience, riot, sabotage, terrorism, threats, restraint by court order or order of public authority, including orders by local, state or federal governments, failure of machinery or equipment, inability to procure materials, or any other occurrence beyond Pistons’ or PSE’s reasonable control.
  22. Non-Occurrence of Events/ Other Events: Nothing herein, including without limitation the Pistons’ issuance of Tickets, shall operate as or constitute any warranty, representation, covenant or guarantee by the Pistons that any number of games shall occur at LCA. Member acknowledges and agrees that the Tickets are solely for Detroit Pistons preseason and regular season games (and, if expressly provided in this Agreement, the right to purchase playoff games) played at LCA in each respective Membership Year, and for the avoidance of doubt, shall not include tickets, or the right to purchase tickets, to any other event or game, including, but not limited to, any NBA All Star or NBA Draft event (each, a “League Special Game”) held in the Pistons’ market or hosted by the NBA at LCA or otherwise in which the Pistons participates. Member acknowledges and agrees that the Pistons and/or NBA may cancel, postpone, reschedule or relocate games for any reason (e.g., move a preseason or regular season game of the Pistons from LCA to an alternate venue for the purposes of playing a League Special Game), as determined in its/their sole discretion, as well as to modify or discontinue, temporarily or permanently, any aspect of the rules, operations and presentations of NBA games and events (“Preemption”). In the event any game for which Tickets have been purchased under this Membership license is not played in LCA for any reason (a “Lost Game”), including, without limitation, a work stoppage or labor dispute by and among the NBA and/or their respective players, Preemption or any other cause, (i) such event shall not be deemed a breach by Pistons of this Membership license, and (ii) Member hereby waives and releases any and all claims Member may have against the Pistons, PSE and/or the NBA with respect to such Lost Game.
  23. Location Change: The Pistons and PSE reserve the right to relocate the Tickets to any other location in LCA (with a price adjustment, if applicable, based on the rate at which Pistons is offering the new seats for sale at the time of relocation) if the Pistons and/or PSE determines, in its sole discretion, such relocation is advisable to facilitate any construction project or other alteration or modification to LCA, or due to any NBA requirements, government requirements or other reasons beyond the control of the Pistons and/or PSE or, for the Membership, unavailability of some or all of Member’s same seats for the subsequent NBA season. If the Pistons and/or PSE exercise such right, the Pistons and PSE agree to use reasonable efforts to provide a reasonably comparable location. Member acknowledges that the Pistons and PSE make no guarantee of any specific locations and that the alternative locations will be provided based on availability.
  24. NBA Approval: This Agreement is subject to the Constitution and By-Laws and all rules, regulations and agreements of the NBA and its affiliated entities as they presently exist or as they may, from time to time, be entered into, amended or adopted.
  25. Miscellaneous: Pistons and PSE are not responsible for lost or stolen Tickets, and any reissuance of Tickets shall be at the sole discretion of the Pistons and PSE. Ticket(s) not obtained from sources authorized by the Pistons and PSE may not be honored. In the event any Ticket is listed at an incorrect price or seat location within LCA due to a typographical or other error, the Pistons and PSE shall have the right to refuse or cancel any orders placed for such Ticket(s). 

By making full or partial payment for the Membership or by accepting delivery of Ticket(s), you are entering into this Agreement, agreeing to each of these terms and conditions and accepting responsibility to pay for the full Membership fee stated herein. No cancellations or adjustments will be granted after the designated Renewal Period for a given Membership Year. No refunds will be granted. Any credit(s) issued by the Pistons hereunder for any reason, if at all in Pistons’ sole discretion, shall be applied towards the payment of season or single game tickets for the current or immediately succeeding Pistons season. Any unused credit in any amount will expire after the immediately succeeding Pistons season and shall be forfeited. All ticket and Membership sales are final.
